Cognizant on boards Jonathan Chadwick to its Board of Directors

Cognizant Technology Solutions announces that Jonathan Chadwick has been elected to its Board of Directors. Chadwick has also held leadership positions in VMware where he incubated as Executive Vice President, Chief Financial Officer and Chief Operating Officer.

“Jonathan brings a wide range of expertise as a technology, finance and operations executive to the Cognizant Board,” said Francisco D’Souza, Cognizant Chief Executive Officer. “As clients around the world turn to Cognizant to modernize their IT infrastructures for the digital era, Jonathan’s extensive experience with key enabling technologies including virtualization, networking and security will provide a unique and valuable perspective to our board.”

In connection with the appointment, the veteran will also serve on the Company’s Audit Committee and has been determined by the Board to be an “audit committee financial expert” as defined in Item 407(d)(5)(ii) of Regulation Chadwick will serve as a Board member until the Company’s annual stockholders’ meeting in 2016.

He has no direct or indirect relationship with Cognizant or its subsidiaries and is considered an independent director.

Prior to joining VMware, Chadwick served as the Chief Financial Officer of Skype and as a corporate Vice President of Microsoft Corporation since its acquisition of Skype in October 2011.

Chadwick is a Chartered Accountant in England and holds an honors degree in electrical and electronic engineering from the University of Bath, U.K.
